Become an authorized reseller
Receive information on FileOn products/services and the right to resell FileOn software/services in the US and Canada by filling in the agreement below.
By agreeing to this you will automatically be included on the distribution of any reseller newsletters FileOn creates.
Agreement
Authorization and Agreement By agreeing to submit this form you are certifying that you accept appointment as an authorized reseller of the FileOn Software Products supplied to Reseller in a commercial package ("the Software Product"). Future Software Products are deemed added to this Agreement at such time as they are added to the current Price List. FileOn has the right to discontinue the distribution or availability of any Software Product without prior notice to Reseller. The term of this Agreement shall commence as of the date of this Agreement and continue until terminated by either party.
*By Agreeing to this form you agree to:
a) Restrictions on Copying and Decompiling. RESELLER AGREES NOT TO COPY, TRANSLATE, DISASSEMBLE, OR DECOMPILE THE SOFTWARE IN WHOLE OR IN PART. Reseller shall not make copies or make media translations of the User Documentation.
b) Marketing. Reseller will include in all such advertising all applicable copyright and trademark notices as they appear on or in the Software Products. FileOn will provide a reasonable amount of advertising material, as requested by Reseller, for use in Reseller's efforts to market the Software Products.
c) Piracy Reports. Reseller agrees to promptly report to FileOn any suspected illegal use or copying of Software Products.
d) Warranty Service. Reseller shall make appropriate arrangement with FileOn to provide warranty service for all Software Products. If a Software Product qualifies under the warranty provisions of the applicable End-User Agreement for warranty service, Reseller will return the Software Product to the source from which Reseller obtained it (i.e., FileOn or its authorized distributors) for replacement by such source.
e) Records and Reports. Reseller agrees to maintain a complete, clear and accurate record for two (2) years of the number of packages of each Software Product distributed by product line, to whom they were distributed and the payments received thereof irrespective of the source. A monthly on-hand inventory report listing Software Product quantities by product line shall be maintained. Upon request, Reseller shall provide such records to FileOn. Reseller shall permit FileOn or persons designated by FileOn to inspect records pertaining to the Software Products and any other materials provided to Reseller by FileOn to ensure compliance by Reseller with its obligations to FileOn. Any such inspection and audit shall be conducted during regular business hours and in such a manner as not to interfere with normal business activities of Reseller.
f) Sell Software Products to End Users only in the country in which Reseller's principle place of business is located pursuant to the terms and conditions of the then current applicable Software Product End User License Agreement ("End User Agreement"). Reseller shall distribute the Software Products solely in the form obtained from FileOn authorized.
